LIQUIDATING TRUST INFORMATION
On April 30, 2021 General Anesthesia Specialists Partnership Medical Group ("GASP") and James Gansman entered into a Liquidating Trust Agreement ("Agreement") whereby creating the GASP Liquidating Trust ("Trust") and appointing James Gansman as Liquidating Trustee ("Trustee").
In accordance with the Agreement GASP assigned to the Trust, and to its successors in trust and its successors and assigns, all right, title, and interest of GASP in and to all property of GASP of any kind or nature, including all real property, all personal property, all assets, equitable or legal rights or interests, contract rights, benefits, causes of action, claims, cash, accounts, deposit accounts, accounts receivable, payment intangibles, or any other thing tangible or intangible, of any kind whatsoever, owned or held by or on behalf of GASP in which GASP has any right, title or interest (the “Liquidating Trust Assets”).
The Trust was established for the purpose of receiving the Liquidating Trust Assets, liquidating and distributing its assets, and for prosecuting any affirmative claims or defenses held by GASP, with no objective to continue or engage in the conduct of a trade or business. The Liquidating Trust shall not be deemed a successor-in-interest of GASP for any purpose other than as specifically set forth by the Agreement.
